Terms of Use

1. Acceptance of these terms

By accessing usestateswap.com (the "Site") or submitting the waitlist form, you agree to these Terms of Use ("Terms"). If you don't agree, please don't use the Site.

2. Who we are

The Site is operated by Market Valley LLC ("we," "us," or "StateSwap"). StateSwap is a planned student marketplace for Penn State; this Site is the public-facing waitlist while we build it.

3. Eligibility

To join the waitlist, you must:

• Be at least 13 years old (and have parental consent if under 18 in your jurisdiction).
• Currently attend, or have recently attended, a college or university with a valid .edu email address.
• Provide accurate information about yourself.

We reserve the right to reject or remove any waitlist submission that appears to be a bot, duplicate, or otherwise invalid.

4. What the Site is — and is not

The Site is for informational and waitlist purposes only. Joining the waitlist does not:

• Create an account on the StateSwap product (which doesn't exist yet).
• Guarantee you access to StateSwap when it launches.
• Constitute a contract for goods or services.
• Authorize us to take payment of any kind.

When StateSwap launches, it will have its own separate Terms of Service that you'll need to agree to before using the product.

5. Your information

By submitting the waitlist form, you confirm the information you provide is accurate and grant us permission to use it as described in our Privacy Policy.

6. Acceptable use

You agree not to:

• Submit false, misleading, or another person's information.
• Use bots, scripts, or other automated tools to interact with the Site.
• Attempt to disrupt, attack, or reverse-engineer the Site or its underlying services.
• Use the Site for any illegal purpose.

7. Intellectual property

The Site's content — including the StateSwap name, logo, copy, and design — is owned by Market Valley LLC. You may not copy, reproduce, or use it for commercial purposes without our written permission. The StateSwap product, when launched, will have separate licensing terms.

8. Third-party services

The Site uses third-party services (Google Apps Script, Cloudflare, GitHub) to operate. Their availability is outside our control. We're not responsible for issues caused by those third parties.

9. Disclaimer of warranties

The Site is provided "as is" and "as available" without warranties of any kind, express or implied. We don't guarantee the Site will be uninterrupted, error-free, or secure. We don't guarantee that StateSwap will launch on any specific timeline, or at all.

10. Limitation of liability

To the maximum extent permitted by law, Market Valley LLC and its members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Site or waitlist. Our total liability for any claim related to the Site is limited to $50 USD.

11. Indemnification

You agree to indemnify Market Valley LLC against any claims arising out of your breach of these Terms or misuse of the Site.

12. Termination

We may remove your waitlist entry at any time, without notice, for any reason — including suspected fraud, bot activity, or violation of these Terms. You may request removal of your entry at any time by emailing marketvalleyllc@gmail.com.

13. Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Centre County, Pennsylvania, and you consent to that jurisdiction.

14. Changes

We may update these Terms from time to time. Updates take effect when posted on the Site, with the "Last updated" date refreshed. Continued use of the Site after changes means you accept them.
